Terms and Conditions

Houston Equity Private Limited — These Publisher Terms and Conditions (“Terms”) constitute a legally binding agreement between Houston Equity Private Limited (“Houston Equity”, “Company”, “we”, “our”) and the entity or individual registering as a publisher on the Houston Equity platform (“Publisher”, “you”, “your”).

By registering, integrating Houston Equity code, or participating in the Houston Equity network, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. About Houston Equity’s Services

Houston Equity operates a digital content discovery, recommendation, and traffic monetization platform that connects publishers with advertisers, demand partners, and content sponsors. As part of this network, publishers are provided with tags, widgets, links, or scripts (“Houston Code”) to be placed on their digital properties for monetization of their audience traffic.

Houston Equity acts solely as an intermediary technology platform and does not own, control, or create publisher content or traffic sources.

2. Publisher Representation and Eligibility

By joining the Houston Equity network, the Publisher represents and warrants that:

  • They are the legal owner or authorized operator of the websites, applications, or digital properties where Houston Code will be implemented.
  • All traffic sent through Houston Equity placements is genuine human user traffic acquired through lawful and transparent means.
  • The Publisher complies with all applicable laws, regulations, and industry standards relating to advertising, privacy, data protection, and online publishing.

Houston Equity reserves the absolute right to approve, reject, or suspend any Publisher at its sole discretion.

3. Traffic Quality and Integrity

The foundation of the Houston Equity network is high-quality user engagement. Accordingly, the Publisher agrees that all traffic shall be:

  • Organic or legitimately acquired
  • Free from artificial inflation
  • Derived from transparent sources
  • Non-incentivized and non-misleading
  • Generated by real users with genuine intent

Houston Equity employs internal systems and third-party fraud detection mechanisms to continuously evaluate traffic quality.

If traffic is found to be invalid, fraudulent, manipulated, or non-compliant with these Terms, Houston Equity reserves the right to reverse associated revenues, withhold payments, and suspend or terminate the Publisher account without prior notice.

4. Prohibited Practices and Traffic Sources

The Publisher expressly agrees not to engage in or source traffic from:

  • Bots, scripts, automated browsing systems
  • Click farms, proxy networks, VPN clusters
  • Traffic exchanges, paid-to-click networks, incentivized clicks
  • Forced redirects, pop-unders, auto refreshes
  • Deceptive user interface placements designed to trick users into clicking
  • Hidden frames, background tabs, or invisible placements
  • Adult, illegal, pirated, hateful, or misleading content environments
  • Domain spoofing or misrepresentation of traffic origin

Violation of this clause shall result in immediate termination and forfeiture of earnings.

5. Placement and Use of Houston Code

Houston Code must be implemented exactly as provided. The Publisher shall not modify, manipulate, or alter the code or its behavior.

Placements must be clearly visible, integrated naturally into the content experience, and must not be placed near misleading elements such as fake download buttons, navigation traps, or deceptive design.

Houston Code may not be deployed in emails, software applications, toolbars, popups, browser extensions, or non-approved environments.

6. Reporting, Measurement, and Revenue Determination

All measurements relating to impressions, clicks, revenue, and traffic validation shall be determined solely by Houston Equity’s reporting systems.

The Publisher acknowledges that Houston Equity’s reporting interface constitutes the definitive and binding record for billing and payment purposes. Third-party analytics, including Publisher’s own tracking tools, shall not be grounds for dispute.

7. Payment Terms

Houston Equity operates on a Net 30 payment cycle from the end of each calendar month, subject to:

  • Traffic quality validation
  • Fraud checks

Houston Equity reserves the right to delay payments where traffic investigations are ongoing. Revenue generated from invalid or non-compliant traffic shall be deducted prior to payment.

Payments shall be made through approved banking channels as agreed during onboarding.

8. Audit and Verification Rights

Houston Equity reserves the right to audit Publisher traffic sources and may request supporting evidence including, but not limited to:

  • Traffic acquisition methods
  • Server logs
  • Analytics access
  • Referral data

Failure to provide requested information may result in suspension or termination.

9. Intellectual Property

All technology, software, data, algorithms, widgets, designs, and systems provided by Houston Equity remain the exclusive property of Houston Equity.

The Publisher shall not copy, reverse engineer, replicate, or misuse any part of the Houston Equity platform.

10. Data Protection and Privacy Compliance

The Publisher is solely responsible for ensuring proper user consent mechanisms are in place in accordance with GDPR, CCPA, Indian IT laws, and other applicable privacy regulations.

Houston Equity shall not be liable for Publisher’s failure to obtain user consent.

11. Suspension and Termination

Houston Equity may suspend or terminate the Publisher’s participation at any time for:

  • Traffic quality concerns
  • Violation of these Terms
  • Reputational or legal risk
  • Non-cooperation during audits

Any unpaid earnings during investigation may be permanently forfeited.

12. Limitation of Liability

Houston Equity shall not be liable for:

  • Fluctuations in revenue
  • Changes in advertiser demand
  • Blocking by demand partners
  • Technical discrepancies caused by third-party systems

13. Indemnification

The Publisher agrees to indemnify and hold Houston Equity harmless against any claims, losses, or legal actions arising from:

  • Fraudulent or invalid traffic
  • Publisher content
  • Regulatory violations
  • Misrepresentation of traffic sources

14. Nature of Relationship

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship. The Publisher operates as an independent contractor.

15. Modification of Terms

Houston Equity reserves the right to modify these Terms at any time. Continued participation constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Courts at Mumbai shall have exclusive jurisdiction.

17. Acceptance of Terms

By registering on the Houston Equity platform and implementing Houston Code, the Publisher confirms acceptance of these Terms in full.


By using Houston Equity services, you acknowledge that you have read and understood these Publisher Terms.
